Terms of Use

1. Acceptance of Terms

These Terms of Use (“Terms”) govern your access to and use of OMNe, including our mobile application, websites, subscriptions, features, content, communications, and related services. By creating an account, accessing, or using OMNe, you agree to these Terms, our Privacy Policy, and our Safety and Community Standards.

If you do not agree, do not create an account or use OMNe.

2. Eligibility; Adults Only

You must be at least 18 years old to use OMNe. By using OMNe, you represent and warrant that you are 18 or older, legally able to enter into these Terms, and not prohibited from using the service under applicable law. We may require age or identity verification at any time.

3. The OMNe Dating Service

OMNe is a dating platform designed to help consenting adults discover compatible matches in real-world settings. Features may include profile creation, compatibility matching, Proximity Matching, discovery alerts, consent-based navigation, passphrase verification, missed-match tools, messaging, safety features, and paid subscription features.

OMNe facilitates introductions only. OMNe does not guarantee compatibility, attraction, chemistry, identity, intentions, conduct, safety, relationship outcomes, or any in-person result.

4. Mandatory User Acknowledgment

By using OMNe, you acknowledge and agree:

  • OMNe facilitates introductions between consenting adults.
  • OMNe cannot guarantee the identity, intentions, conduct, or safety of any user.
  • You remain solely responsible for your decisions and interactions, both online and offline.
  • You are responsible for exercising caution, using safety features, meeting in public places, and complying with applicable law.
  • You may stop, cancel, block, or report an interaction at any time.

5. Accounts and Security

  • You must provide accurate, current, and complete account information.
  • You may not create an account for anyone else or transfer your account.
  • You are responsible for maintaining account confidentiality and all activity under your account.
  • You must promptly notify us of unauthorized account use or suspected security issues.

6. Profiles, Photos, and User Content

You are responsible for the content you submit, including profile photos, bio text, questionnaire responses, messages, icebreakers, reports, and other materials. You grant us a non-exclusive, worldwide, royalty-free license to host, display, reproduce, modify, adapt, analyze, moderate, and use your content as necessary to operate, improve, protect, and promote OMNe.

You represent that you have all rights necessary to submit your content and that it does not violate law, third-party rights, these Terms, or our Safety and Community Standards.

7. Proximity Matching and Location-Based Features

OMNe’s proximity features are designed to identify potential matches within a selected geographic range and to enable controlled, consent-based discovery. You agree that:

  • Location-based features require device permissions and may not work without them.
  • You may receive or appear in discovery alerts only according to app settings, permissions, availability, and matching logic.
  • A proximity alert does not create a right to approach, follow, contact, photograph, record, or interact with another user without consent.
  • You must respect all deny, cancel, block, report, and non-response signals.
  • You may not use OMNe to stalk, track, harass, intimidate, or monitor any person.

8. Consent-Based Navigation and Passphrase Verification

If a match authorizes a proximity-based introduction, OMNe may provide limited guidance intended to help users find each other in a public or social setting. Guidance may be approximate and may stop at or near a general location rather than providing exact location details.

Passphrase or icebreaker verification is intended to support recognition, consent, and safe conversation initiation. You agree to use passphrases respectfully and to end the interaction if the other user appears uncomfortable, withdraws consent, or asks you to stop.

9. Safety Features Are Not Guarantees

OMNe may provide safety features such as trusted-contact sharing, profile sharing, reporting, blocking, cancellation, timed windows, passphrases, and moderation tools. These features are designed to reduce risk but do not eliminate risk. You are responsible for your choices and for taking reasonable precautions.

10. Prohibited Conduct

  • Using OMNe if you are under 18.
  • Impersonation, deception, catfishing, fake profiles, or misrepresentation.
  • Harassment, stalking, threats, intimidation, unwanted contact, or repeated attempts after denial or non-response.
  • Sexual exploitation, solicitation, trafficking, prostitution, non-consensual sexual content, or sexual content involving minors.
  • Hate, abuse, bullying, humiliation, or discriminatory conduct.
  • Posting or sending nudity, sexually explicit content, or obscene content where prohibited by our standards or app store requirements.
  • Requesting money, gifts, financial information, credentials, investments, or cryptocurrency from users.
  • Scraping, reverse engineering, hacking, interfering with the service, or bypassing safety controls.
  • Using another user’s location, profile, photos, or content outside OMNe without permission.
  • Violating any applicable law, venue rule, or public safety requirement.

11. Reporting, Blocking, Moderation, and Enforcement

We may review, moderate, remove, restrict, suspend, or terminate accounts or content that we believe violates these Terms, our Safety and Community Standards, applicable law, user safety, or platform integrity. We may use automated tools, manual review, user reports, and third-party safety services. We are not obligated to monitor all content or interactions.

12. Subscriptions, Purchases, Trials, and Billing

OMNe may offer free features, paid subscriptions, in-app purchases, premium features, trial periods, and promotional offers. Prices, features, and availability may change.

Purchases made through Apple App Store or Google Play are processed by Apple or Google and are subject to their payment terms. Subscriptions may automatically renew unless canceled before the renewal date through the applicable app store account settings. Deleting the app or deleting your OMNe account may not automatically cancel a subscription. Refund requests for app store purchases are generally handled by Apple or Google under their policies.

13. Third-Party Services

OMNe may integrate or link to third-party services such as app stores, maps, analytics, authentication providers, cloud services, safety vendors, payment processors, or communication services. We are not responsible for third-party services, and your use of them may be governed by separate terms and privacy policies.

14. Disclaimers

OMNe is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, reliability, safety, or that the service will meet your expectations.

15. Limitation of Liability

To the maximum extent permitted by law, OMNe and its owners, officers, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, consequential, special, exemplary, punitive, or enhanced damages, lost profits, lost data, emotional distress, personal injury, or damages arising from user conduct or in-person interactions, except where prohibited by law.

16. Indemnification

You agree to defend, indemnify, and hold harmless OMNe and its affiliates from claims, damages, liabilities, losses, and expenses arising out of your use of the service, your content, your interactions with other users, your violation of these Terms, or your violation of law or third-party rights.

17. Account Termination

You may stop using OMNe at any time. We may suspend or terminate your account, restrict features, or remove content if we believe you violated these Terms, created risk, caused harm, or misused the service. Termination does not automatically entitle you to a refund, except as required by law or applicable app store policies.

18. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. [Counsel should insert arbitration, class-action waiver, small-claims, venue, and jurisdiction language appropriate to the company’s operating model and applicable law.]
